Welcome to LetsWed ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the LetsWed website, mobile applications, and related services (collectively, the "Platform").

By creating an account, accessing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility

To use the LetsWed Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Platform under applicable law
• Provide accurate and complete registration information

3. Account Registration

3.1 Account Creation

To access certain features of the Platform, you must create an account. When registering, you agree to:

• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 One Account Per Person/Business

Each individual or business may maintain only one account on the Platform. Creating multiple accounts to circumvent restrictions is prohibited.

4. User Types

LetsWed supports the following user types:

• Couples/Brides: Users planning a wedding who can browse vendors, post job requests, and access planning tools
• Vendors: Wedding service providers including photographers, videographers, florists, caterers, DJs, wedding planners, hair & makeup artists, officiants, transportation, and other wedding professionals
• Venues: Wedding venue operators including ceremony sites, reception venues, hotels, estates, barns, and unique spaces

5. Acceptable Use

5.1 Prohibited Conduct

You agree NOT to:

• Provide false, misleading, or inaccurate information
• Impersonate any person or entity
• Harass, abuse, threaten, or discriminate against other users
• Post spam or unsolicited promotions
• Upload viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Platform
• Scrape or harvest user data without permission
• Use the Platform for any illegal purpose
• Create fake reviews or manipulate ratings

6. User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant LetsWed a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, and distribute your content in connection with operating and promoting the Platform. This license continues even if you stop using the Platform, but only for content that was shared publicly or with other users.

You represent that you have all necessary rights to grant this license and that your content does not violate any third party's rights.

All content must comply with our Community Guidelines.

7. Intellectual Property

The Platform, including its design, features, and content, is owned by LetsWed and protected by intellectual property laws. The LetsWed name and logo are our trademarks.

8. Third-Party Services

The Platform integrates with third-party services:

• Stripe: Payment processing
• TalkJS: Messaging
• Uploadcare: Photo uploads
• Shopify: E-commerce

Your use of these services is subject to their respective terms.

9. Transactions Between Users

LetsWed facilitates connections between couples and vendors. We are NOT a party to any transaction between users. All contracts are directly between buyer and seller.

We do not guarantee the quality, safety, or legality of services or products offered, nor the ability of parties to complete transactions.

10. Disclaimers

We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not endorse any vendor or service on the Platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LETSWED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability shall not exceed the amounts you paid to LetsWed in the twelve (12) months prior to the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless LetsWed from any claims arising from your use of the Platform, your content, or your violation of these Terms.

13. Termination

You may terminate your account at any time. We may suspend or terminate your account for violation of these Terms, fraudulent activity, or at our discretion.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Tennessee.

14.2 Arbitration

Disputes shall be resolved through binding arbitration in Nashville, Tennessee, administered by the American Arbitration Association.

14.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as a class member.

15. Modifications

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. For significant changes, we may also send an email notification. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and LetsWed regarding the Platform.

LetsWed is based in the United States. By using our Platform, you consent to the transfer and processing of your information in the U.S.

10. Data Retention

We retain your information as long as your account is active or as needed to provide services. After account deletion, we retain certain data for up to 90 days for legal and business purposes.

11. Changes to This Policy

We may update this Privacy Policy periodically. We will notify you of material changes via email or Platform notification.

How It Works

1. Brides post job requests for vendor services
2. Elite members get a 24-hour head start to view and respond first
3. After 24 hours, Pro members gain access to respond
4. Jobs appear in your dashboard based on category and location match

Why First Response Matters

Vendors who respond first are significantly more likely to be shortlisted by brides. Elite's 24-hour head start means your proposal lands before the competition.

4. Profile Requirements

• Complete your profile to appear in the vendor directory (Essential and above)
• Keep information accurate and current
• Upload real photos of your actual work
• Respond professionally to inquiries and messages

5. Upgrading & Downgrading

Upgrading

• Takes effect immediately
• Prorated credit for current period
• New benefits begin right away

Downgrading

• Takes effect at next billing cycle
• Current benefits retained until then
• Premium features (job access, featured placement) revoked at downgrade

7. Refund Policy

8. Suspension & Termination

We may suspend or terminate memberships for:

• Payment failure (7+ days unresolved)
• Violation of Terms of Service or Community Guidelines
• Fraudulent activity or misrepresentation
• Verified complaints from multiple users
• Discriminatory behavior toward couples

If your membership is terminated for policy violations, no refund will be issued.

• No charge during trial period

Maintain at least 80% profile completion to appear in search results and receive job opportunities.

2. Photo & Content Standards

• No misleading edits

Client Consent

You must have appropriate consent from clients to share photos of their weddings.

3. Business Conduct

Licensing

You are responsible for maintaining required business licenses and permits. LetsWed does not verify licensing status.

4. Job Responses (Pro & Elite Members)

Requirements

• Respond promptly to job opportunities
• Provide accurate availability information
• Quote pricing consistent with your profile
• Be honest about your ability to fulfill requests

Response Quality

• Personalize responses to the couple's specific request
• Maintain a professional and courteous tone
• Be clear about next steps
• No high-pressure sales tactics

5. Independent Contractor Status

You are an independent business, not an employee, agent, or partner of LetsWed. You:

• Control your own schedule, pricing, and service delivery
• Are responsible for your own taxes, insurance, and business expenses
• May use other platforms or marketing channels
• Make your own decisions about which clients to work with

LetsWed provides a platform for discovery and connection only.

6. Direct Transactions

LetsWed facilitates connections but is NOT a party to transactions:

• You set your own pricing
• You collect payments directly from clients
• You handle contracts, deposits, and service agreements
• Any disputes are resolved directly between you and your client

LetsWed has no liability for the quality of services you provide or any disputes arising from your transactions.

7. Reviews

You Agree To

• Accept reviews from verified clients
• Not offer incentives for reviews
• Not pressure clients for positive reviews
• Not retaliate against negative reviewers
• Respond professionally to all reviews

Prohibited

• Fake reviews or testimonials
• Buying reviews
• Threatening legal action to suppress reviews
• Review exchange arrangements

8. Non-Discrimination

By listing on LetsWed, you agree to offer services equally to all couples. Discriminatory patterns will result in termination.

9. Platform Circumvention

You agree NOT to:

• Solicit couples to contact you outside the Platform to avoid features
• Direct couples away before establishing contact
• Use misleading tactics to harvest contact information
• Create multiple accounts

10. Account Termination

Grounds for termination include:

• Policy violations
• Fraudulent practices
• Multiple verified complaints
• Discriminatory behavior
• Harassment
• Copyright violations

AI-Generated Content

AI tools may be used for writing assistance (descriptions, responses), but:

• AI-generated images cannot be presented as your actual work
• Reviews must reflect genuine human experiences
• Profile information must be accurate, not AI-fabricated

No Fake Profiles

3. Our Process

Upon receiving a valid notice, we will:

If you believe your content was removed by mistake, submit a counter-notification with:

5. Repeat Infringer Policy

We terminate accounts of repeat infringers:

• First offense: Warning and content removal
• Second offense: Warning, removal, temporary suspension of uploads
• Third offense: Permanent account termination

Egregious infringement may result in immediate termination.

6. Good Faith Requirement

Under DMCA Section 512(f), knowingly misrepresenting that material is infringing may result in liability for damages and attorneys' fees.

• Job access revoked (if Pro/Elite)
• Basic profile and data retained

7. Marketplace Transactions

• File dispute with payment service (PayPal, etc.)

8. No Refunds or Credits For

• Any unused portion of monthly subscriptions
• Any unused portion of annual subscriptions
• Unused features within your tier
• Account termination due to policy violations
• Dissatisfaction with job lead quality
• Not receiving enough inquiries
• Forgot to cancel before renewal
• Change of mind after purchase

9. Billing Errors

If you believe there was a billing error (duplicate charge, charged after cancellation, etc.), contact us:

10. Chargebacks

11. Free Trials
